INTRODUCTION :

BUSINESSGYAN.Com is an online Vehicle/Platform which enables its members to share, broadcast and exchange- ideas, thoughts, views on business issues with/to others. Businessgyan is a unit of Dr.C.V.S.Ratnam & Associates (P) Ltd. Having its registered office at 102, Eden Park, 20 Vittal Mallya Rd. Bangalore 560 001.

How to be a Member?

Please read the terms and conditions stated below carefully before joining as a Member. One can be a Member by clicking on the icon “Accept Terms and Conditions” on the Registration Page. Clicking on the icon will presume that one has read, clearly understood and accepted these terms and conditions.

DEFINITIONS : 

1. Site:- the website Businessgyan.com  

2. Registration Page:- A page on the site which appears when you want to have a membership account.  

3. Membership plans:- There are several membership options / plans available the details of which are provided under the “Membership” link on the top menu of the site.

ELIGIBILITY FOR MEMBERSHIP :

To be a member one should be above 18 years of age and should be competent in law to contract. 

PARTICULARS TO BE FURISHED :

Correct and verifiable information's sought in the registration form provided have to be furnished. However the member has been provided with tools to remain anonymous to other users if desires. Various options have been created on the site to allow the member to selectively disclose or share information to other members or the public. 

FACILITIES :

A member shall be entitled to enjoy any or all facilities provided and available as per the ‘membership plans’. 

MEMBER`S OBLIGATIONS :

1.The Member shall not share, broadcast, exchange or publish in any manner any material which is -  

i) in breach of any law  

ii) blasphemous  

iii) defamatory 

iv) otherwise actionable  

v) In infringement of any copy right, trade mark, patent or other intellectual property right or any moral right of any third party. 

vi) Spam, flooding, chain letters, pyramid schemes etc.  

vii) Invades any ones privacy  

viii) Objectionable from Businessgyan’s view  

ix) Specifically not permitted by Businessgyan

2. The Member shall update and ensure correctness of information furnished on the profile pages and in the registration form. 

3. The member shall not disclose to or allow any other person to use his password.

4. The member shall be solely responsible for the contents of the materials, ideas and thoughts shared, broadcasted and exchanged by the member.

5. The member shall give one month’s prior notice by email to Businessgyan to terminate his membership.

INDEMNITY:

The member shall indemnify Businessgyan against all claims, costs, demands, allegations, charges, expenses and liabilities of whatsoever nature arising out of or in connection with the use of this site by the member. 

PRIVACY  : 

i) Informations given by the member at the time of registration and in the areas specifically mentioned ‘private’ will be used by Businessgyan for internal research and to enable it to provide relevant information to the member and to keep in touch with the member. Businessgyan will provide several ways by which a member can control the information provided by him and thus ensure that his privacy is not disturbed.

ii) Businessgyan shall not without the prior permission of the member divulge any part of the information given by the member in the areas specifically mentioned ‘private’ to any person except to  

a) The personnel of Businessgyan who need to know the same.  

b) The persons or bodies having a right, duty or obligation to know the same in pursuance of such right, duty or obligation.

PROPERTY RIGHTS: 

All the copy right and other intellectual property rights in the materials, ideas, thoughts and views shared exchanged or broadcasted by the member shall be the property of the Businessgyan jointly and severally with that of the member. The exercise of this property right by 

Businessgyan shall stand covered by the indemnity provided by the member. The member is free to publish his own articles, thoughts and other contents contributed by him anywhere else.

Publishing contents from businessgyan.com but not created by member:-

With regard to publishing contents from Businessgyan site not created by the member, in other media which includes newsletters, websites, magazines, journals and such media- the member may publish in other media portions of material published in Businessgyan (maximum 200 words) by mentioning the name of the author and Businessgyan.com. In case the said material is less than 200 words the member may publish the material in full. The member may provide links on his site to articles and other contents in Businessgyan.com. If the article is about the member or his organisation even though not written by the member, the member may publish the same on his 'organisation's website' or 'organisation's newsletter' in full while giving the name of the author and Businessgyan.com. For any other publishing requirement the member shall seek prior permission from the administrator by contacting admin@businessgyan.com.

Transmitting Information to others :-

The member can share various information on the site with others, using the tools provided on the site such as 'Send Article by email', 'RSS feeds', 'Printouts', 'PDF copy downloads', 'recommend' and other tools. However portions of the site will be marked as private and for the member's reading only and this information should not be transmitted to others.

ALTERATIONS : 

Businessgyan shall have right to edit, modify, alter, change, adopt or translate the whole or any part of the materials, ideas, thoughts or views, shared, broadcasted or exchanged by the member on the site in any manner at any time. The member can also change and modify content created by the member on the site any time. 

RESPONSIBILITY : 

Businessgyan shall not :- 

i) be responsible for the veracity or correctness of any of the materials, ideas, thoughts or views shared, broadcasted or exchanged by members of the site. 

ii) be responsible to store or retain any material that is displayed in the site. The member is advised to take his own backup or copy for the safe keeping of content created by him.

iii) be responsible with regard to the credentials of members.

TERMINATION: 

The Businessgyan in its sole discretion may terminate the membership of any person at any time without notice.

NOTICE:

All notices required to be given hereunder shall be in writing and shall be sent to the address provided by the member by delivering personally or by courier or by facsimile transmission and shall be deemed to have been served, if by hand when delivered, if by courier 48 hours after handing over to the courier company and if by facsimile on transmission.

GOVERNING LAW: 

The agreement will be governed by the laws of India.

JURISDICTIONAL COURT : 

Only the Courts in Bangalore city (Karnataka State, India) shall have jurisdiction to try any of the litigations that may arise out of this agreement between the parties.

DISPUTE SETTLEMENT:

Any dispute or claim arising out of or in connection with this agreement or the performance, breach or termination thereof shall be finally settled by binding arbitration conducted in Bangalore City. As per the provisions of the Arbitration and Conciliation Act, 1996.

SEVERABILITY:

If any provision of this Agreement is held to be invalid, illegal or unenforceable under present or future laws, such provision shall be struck from the Agreement, however such invalidity or enforceability shall not affect the remaining provisions or conditions of this Agreement. The PARTIES shall remain legally bound by the remaining terms of this Agreement and shall strive to reform the Agreement in a manner consistent with the original intent of the PARTIES. 

LIMITATION OF LIABILITY :

Businessgyan shall not be responsible in any manner for any direct or indirect loss, damages or injury sustained by the member by use of this site.
